1. Acceptance of the General Terms.
These General Terms & Conditions, together with any documents they expressly incorporate by reference (collectively, "General Terms"), are entered into by and between you and Sage Haus, Inc. ("Sage Haus," "Company," "we," or "us"), and govern your access to, receipt, and/or use of (a) Sage Haus websites, including without limitation https://sagehaus.com/ (collectively, the "Website"); (b) any Sage Haus mobile application; and (c) any Sage Haus goods or services (items (a)-(c), collectively, the "Services").
PLEASE NOTE THAT THESE GENERAL TERMS CONTAIN AN ARBITRATION REQUIREMENT AND A CLASS-ACTION WAIVER BELOW.
By accessing, receiving, or using the Services, or by clicking to accept or agree to the General Terms when this option is made available to you, you accept and agree to be bound and abide by these General Terms and our Privacy Policy, together with any Service-specific terms, such as those related to hiring services, managed services, consulting services, educational materials, digital products, courses, or certifications. The Service-specific terms are expressly incorporated by reference into these General Terms; provided that if there is any conflict between these General Terms and any Service-specific terms, these General Terms will control and govern. If you do not want to agree to these General Terms or our
Privacy Policy, you must not access or use the Services.
The Services are offered and available to users who are 18 years of age or older and residing in Canada or the United States. By using the Services, you represent and warrant that you are at least 18 years of age and reside in Canada or the U.S.
2. Changes to the General Terms.
We may revise and update these General Terms from time to time at our sole discretion and without notice. All changes are effective immediately when we post them to the Website, and apply to all access to and use of the Services thereafter.
Your continued access or use of the Services following the posting of revised General Terms means that you accept and agree to the changes. You should check this page from time to time so you are aware of any changes.
3. Payment.
All prices for Services are USD unless noted otherwise. When you make a purchase, you are agreeing to pay, and that the Company may charge you, the amounts displayed at the time of purchase. You can make payment by credit card or other methods offered by Company; provided that we may pass through credit card processing fees to you – either by adding it to your current order, or charging you for it later. Prices are subject to change at any time without notice, and Company reserves the right to cancel any purchases if there are any pricing errors or mistakes. If you fail to make complete payment on time, Company may exercise any rights available to it at law, in equity, or otherwise, including without limitation charging interest and ceasing to provide Services. Without limiting the foregoing, interest will accrue on late payments at the greater of 1.5% per month or the highest rate allowed by law.
Unless stated otherwise at the time of purchase, all payments are due in advance, noncancellable, and nonrefundable. If we retain an attorney or incur other costs or fees to collect overdue amounts from you, you agree to immediately reimburse us for all such costs and fees.
4. Accessing the Services and Account Security.
Although we will use reasonable efforts to make the Services available on a regular basis, we reserve the right to withdraw or amend the Services or any of their contents in our sole discretion without notice. Some Services may also be subject to availability and/or limited enrollment. We will not be liable if all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to portions of the Services.
In addition, timely and successful delivery of the Services depends, in part, on you and third parties we use to deliver the Services. Sage Haus is not responsible for the actions or omissions of you or any third parties, including without limitation any delays caused by you or any third parties.
To access certain Services, you may be asked to provide certain registration details or other information. All information you provide must be correct, current, and complete.
If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account and access to the Services are personal to you and you agree not to provide any other person with access to the Services; provided that members of the same household may share access to the Services for purposes of managing that household. You agree to notify us immediately of any unauthorized access to or use of the Services, your username or password, or any other breach of security. You are responsible for all actions taken using your username, password, and other security information.
We have the right to suspend or terminate your access to, receipt, and/or use of the Services at any time in our sole discretion for any reason, including if we have determined that you have violated these General Terms.
5. Your Obligations Regarding Information You Provide with the Services.
You are solely responsible for the accuracy, content, and legality of all information you provide in connection with the Services, and for ensuring that your use of the Services is compliant with applicable law. Further, you must obtain all third-party licenses, rights, clearances, consents, and approvals that may be required for you (and Sage Haus on your behalf) to collect, process, and store the information you provide. You represent and warrant that such collection, processing, and storage will not violate any applicable law or any intellectual property, publicity, privacy, or other rights of any third parties.
6. Confidentiality.- As used in these General Terms, "Confidential Information" means any non-public information disclosed or made available by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with the Services, including without limitation: All household information, including without limitation family details, staffing requirements, compensation structures, and personal preferences; Sage Haus's candidates, hiring methods, screening processes, business strategies, and fee structures; and Candidates' personal information, employment history, qualifications, and background check results.
- The Receiving Party will: Maintain the confidentiality of the Disclosing Party's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; Not disclose Confidential Information to any third party without Disclosing Party's prior written consent; Use Confidential Information solely for the purpose of performing its obligations or exercising its rights under these General Terms; and Return or destroy all Confidential Information upon the termination of the Services or upon the Disclosing Party's request.
- The Receiving Party may disclose Confidential Information: To its employees, agents, subcontractors, or advisors who have a need to know such information for the purpose of performing the Receiving Party's obligations under these General Terms, provided that such persons are bound by confidentiality obligations no less restrictive than those in this Agreement; To job candidates and potential employers/households, as applicable, to the extent necessary to facilitate the hiring process, provided that recipients are informed of the confidential nature of the information; or As required by law, regulation, or court order, provided that the Receiving Party gives the Disclosing Party prompt written notice of such requirement to allow the Disclosing Party to seek a protective order or other appropriate remedy.
- The parties acknowledge that a breach of this Section may cause irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, in addition to any other remedies available, the Disclosing Party will be entitled to seek injunctive relief to prevent any breach or threatened breach of this Section.
7. Non-Circumvention.
If you use our hiring Services to hire staff, you agree to not circumvent Sage Haus by directly or indirectly entering into an employment or other agreement with any person or entity Sage Haus introduced you to without paying the required fees.
If you are a job candidate using hiring Services, you agree to not
(a) circumvent Sage Haus by directly communicating with a prospective employer/household Sage Haus introduced you to unless you have Sage Haus's prior written consent or (b) encourage or induce any prospective employer/household Sage Haus introduced you to to terminate or reduce their relationship with Sage Haus.
The prohibitions in this Section will last for the duration of the applicable Services and for 12 months after their termination or expiration.
8. Intellectual Property Rights.
Except for User Contributions (defined below), as between you and Sage Haus, the Services and all related content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Sage Haus or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Except as stated otherwise in Service-specific terms regarding a license to reference your completion of Sage Haus courses or certifications, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material from the Services, except as may be (a) expressly permitted under these General Terms, such as to manage your household; (b) necessary to access and use those materials for your personal and non-commercial use; or (c) permitted in a separate agreement signed by Sage Haus.
Without limiting the foregoing, you may not delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services.
If you wish to make any use of materials available through the Services other than as set out in this Section, please address your request to hello@sagehaus.com.
If you breach these General Terms, your right to access, use, or receive the Services will stop immediately and you must, at our option, return or destroy any copies of materials you have made. No right, title, or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by Sage Haus. Any use of the Services not expressly permitted by these General Terms is a breach of these General Terms and may violate copyright, trademark, and other laws.
9. Trademarks; Affiliation with Company.
The Company name, the Sage Haus word and design trademarks, and all related names, logos, product and service names, designs, graphics, and slogans are intellectual property owned by Sage Haus or its licensors. You may not use such intellectual property without the prior written permission of Sage Haus.
You are prohibited from stating or suggesting that you are affiliated with or endorsed by Sage Haus without the prior written permission of Sage Haus, such as through explicit authorization contained in Service-specific terms related to certifications.
10. Prohibited Uses.
You may use the Services only for lawful purposes and in accordance with these General Terms. You agree not to use the Services:
- In any way that violates any applicable law or regulation.
- For the purpose of exploiting, harming, or attempting to exploit or harm any person.
- To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these General Terms or our community guidelines.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate any person or entity (including, without limitation, by using email addresses or usernames associated with or suggesting an affiliation with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Sage Haus or users of the Services, or expose them to liability.
Additionally, you agree not to:
- Lease, loan, trade, sell/re-sell, or otherwise monetize the Services or related materials or access to the Services.
- Use the Services in any manner that could disable, overburden, damage, or impair the Services, or interfere with any other person or entity's use of the Services, including their ability to engage in real-time activities through the Services.
- Use any robot, spider, or other automatic device or process to access the Services for any purpose, including monitoring or copying any of the material from the Services.
- Use any manual process to monitor or copy any of the material from the Services, or for any other purpose not expressly authorized in these General Terms.
- Use any device, software, or routine that interferes with the proper working of the Services.
- Introduce any viruses, malicious code, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server(s) on which the Services are stored, or any server, computer, or database connected to the Services.
- Attack the Services via denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Services.
11. User Contributions.
Sage Haus may provide opportunities to provide testimonials and other feedback, including without limitation photos, videos, audiovisual content, and written content (collectively, "User Contributions"). For example, we currently use a testimonial vendor named Senja.io to collect testimonials and other feedback.
All User Contributions must comply with these General Terms.
Any User Contribution you provide will be considered non-confidential and non-proprietary, and we may use and share User Contributions for any purpose without any compensation to you. By providing any User Contribution, you grant us the right to use, reproduce, modify, perform, display, distribute, make derivative works of, and otherwise disclose to third parties any such material for any purpose. If you would like us to revise any User Contributions posted on the Services, you may contact us at hello@sagehaus.com with the subject line "User Contributions Request."
You represent and warrant that:
- You own or control all rights in and to the User Contributions, or otherwise have the right to grant the license granted above; and
- All of your User Contributions comply with these General Terms.
- You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Sage Haus, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
12. Community Guidelines.
We will require users of our Services to treat each other and Sage Haus personnel with respect. We set forth the following community guidelines so users can understand our expectations.
- Keep comments and other feedback positive and productive.
- No personal insults, harassment, bullying, threats, or aggressive language should be used.
- Do not repeatedly contact others with unwanted messages or use any information from the Services to engage in repeated unsolicited communications or otherwise harass other users.
- No advertising your business services other than in connection with active hiring services facilitated by Sage Haus.
- No sharing, or threatening to share, other users' personal or confidential information without their consent.
- No sharing content that violates the intellectual property rights of others.
- You may use a user ID or screenname that is different from your real name, but you may not impersonate another person or entity.
If you believe there has been a violation of these community guidelines, please contact us at hello@sagehaus.com. A violation of these community guidelines is a violation of the General Terms and may result (in Sage Haus's sole discretion) in you being suspended from using, or permanently banned from using, the Services.
13. Monitoring and Enforcement; Termination.We have the right to:
- Remove or refuse to post any User Contributions for any reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the General Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for Sage Haus.
- Disclose your identity or other information about you to investigate third-party complaints, such as complaints related to intellectual property or privacy rights.
- Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
- Terminate or suspend your access to all or part of the Services for any reason, including without limitation any violation of these General Terms.

14. Copyright Infringement.
If you believe that any content accessible on or from the Services infringes your copyright, you may request removal of that content (or access to it) under the Digital Millennium Copyright Act ("DMCA") by providing a written notice to our copyright agent containing the following information:
- A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
- A description of the copyrighted work that you claim has been infringed;
- Identification of the allegedly infringing material and where that material is located on the Service, in a sufficiently precise manner to allow us to locate the material;
- Your name, address, telephone number, and email address;
- A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
- A signed statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

15. Reliance on Information Received Through the Services; Not Professional Advice.
The Services are solely for your general information and/or household support purposes. We do not warrant the accuracy, completeness, quality, or usefulness of the Services or any information provided through the Services. Any reliance you place on such information is strictly at your own risk.
Without limiting the foregoing, the Services may include information, materials, software, statements, and/or opinions provided by third parties, such as third-party payroll software vendors and background-check providers. All such information, materials, software, statements, and/or opinions provided by third parties are solely the responsibility of the third party providing them. Sage Haus may not independently confirm the accuracy of the foregoing, and any opinions provided by third parties may not reflect the opinion of Sage Haus.
We are not responsible or liable to you or any third party for the accuracy, completeness, quality, or usefulness of any information, materials, software, statements, and/or opinions provided by any third party.In addition, the Services are not intended to provide you with any professional tax, accounting, or legal advice, and you agree to not rely on the Services for such advice.
We recommend that you retain your own tax, accounting, and/or legal professionals when considering the use of our Services, particularly any hiring services or any contract templates Sage Haus provides: the laws and regulations regarding employment and contractual relationships staffing can vary greatly from one jurisdiction to another. Unless Sage Haus otherwise agrees in a signed writing, you will be solely responsible for evaluating, addressing, and complying with all applicable laws and regulations regarding any employment or contractual relationship arising out of or related to the Services, including without limitation hiring and firing decisions, wages, benefits, working conditions, workplace safety, job duties, allegations of discrimination, harassment, or wrongful termination, and any workplace injuries or workers' compensation issues.
16. Changes to the Services.We may update the Services from time to time, but content available through the Services is not necessarily complete or up-to-date. Any of the material on the Services may be out of date at any given time, and we are under no obligation to update such material.
17. Information About You and Your Visits to the Services.
All personal information we collect through the Services is subject to our
Privacy Policy. By using the Services, you consent to all actions taken by us with respect to your personal information in compliance with the Privacy Policy.
18. Links from the Website.
If the Services contain links to other sites or resources provided by third parties, these links are provided for your convenience only. This includes without limitation advertisements and sponsored links. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party advertisements, sponsored links, or websites linked from the Services, you do so entirely at your own risk and subject to the applicable third party's terms and conditions.
19. Geographic Restrictions.
Sage Haus is based in the U.S. and the Services are intended for use only in Canada and the U.S. We make no claims that the Services are accessible or appropriate outside of Canada or the U.S. Accessing the Services from countries or territories where such access is illegal is prohibited. If you access the Services from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws.
20. Disclaimer of Warranties.
YOUR ACCESS, RECEIPT, AND/OR USE OF THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER(S) THAT MAKES THEM AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
21. Limitation of Liability.TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF SAGE HAUS, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS, OR ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, "COMPANY INDEMNITEES") EXCEED THE AMOUNTS YOU PAID TO SAGE HAUS IN THE THREE MONTHS PRECEEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT WILL COMPANY INDEMNITEES BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PROPERTY DAMAGE, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
22. Indemnification.You agree to defend, indemnify, and hold harmless Company Indemnitees from and against any claims, liabilities, damages, judgments, awards, losses, costs, fees (including reasonable attorneys' fees), or expenses (collectively, "Claims") arising out of or relating to your violation of these General Terms or your use of the Services. Without limiting the foregoing, you agree to defend, indemnify, and hold harmless Company Indemnitees from and against any Claims arising from any employment or contractual relationship arising out of or related to the Services, including without limitation any claims related to hiring and firing decisions, wages, benefits, working conditions, workplace safety, job duties, allegations of discrimination, harassment, or wrongful termination, and any workplace injuries or workers' compensation issues.
23. Governing Law; Mandatory Arbitration; Class-Action Waiver.
All matters relating to the Services and these General Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), will be governed by and construed in accordance with the internal laws of the State of Oregon without giving effect to any choice or conflict of law provision or rule (whether of the State of Oregon or any other jurisdiction).
To the fullest extent provided by law, any dispute arising out of or relating to the Services or these General Terms will be resolved by individual, confidential, and binding arbitration in Portland, Oregon, administered by Arbitration Service of Portland, Inc., or its successor in interest, in accordance with its then-current commercial arbitration rules. The arbitration will be held before a single arbitrator. Nothing in these General Terms prohibits a party from seeking emergency relief (e.g., preliminary injunction) from a court of competent jurisdiction pending resolution by arbitration. You understand and acknowledge that arbitration will be on an individual basis, and you are therefore waiving your right to participate as a plaintiff or class member in any purported class action or representative proceeding. If you wish to opt out of the class-action waiver or arbitration requirement, you may do so by emailing us at hello@sagehaus.com with "Opt-Out" in the subject line. To be effective, we must receive your opt-out message within 30 days of when you first access the Services.
24. Waiver and Severability.
No waiver by Sage Haus of any term or condition set out in any Service-specific terms or these General Terms will be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Sage Haus to assert a right or provision under these General Terms will not constitute a waiver of such right or provision.
If any provision of these General Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be limited to the minimum extent such that the remaining provisions of the General Terms will continue in full force and effect.
25. Assignment
You may not assign, transfer, or delegate any of your rights or obligations under these General Terms or any Service-specific terms without the prior written consent of Sage Haus, which consent will not be unreasonably withheld. Any purported assignment, transfer, or delegation in violation of this Section will be voidable in Sage Haus's discretion. These General Terms and any Service-specific terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
26. No Third-Party Beneficiaries. These General Terms and any Service-specific terms are for the sole benefit of the parties to such terms and nothing, express or implied, is intended to or will confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever.
27. Notices.Notices under these General Terms must be provided by email as follows:
- If to Sage Haus: hello@sagehaus.com; and
- If to you: email to an email address you provided when accessing or using the applicable Service(s).
Notice will be deemed effective one business day (Monday-Friday, excluding U.S. federal holidays) after it is sent.
28. Force Majeure.
Sage Haus will not be responsible for any delays or failure to perform the Services if such failure or delay is caused by or results from acts beyond Sage Haus's reasonable control, including, without limitation: acts of God; flood, fire, earthquake, or explosion; war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest; government order or law; actions, embargoes, or blockades; action by any governmental authority; national or regional emergency; strikes, labor stoppages or slowdowns, or other industrial disturbances; shortage of adequate power, utilities, or transportation facilities; or other similar events beyond its reasonable control.
29. Entire Agreement.
These General Terms, our Privacy Policy, and any applicable Service-specific terms constitute the entire agreement between you and Sage Haus regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services; modification of the foregoing requires a writing signed by all applicable parties.
